Item 5.02                                           Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective November 20, 2014, Jared Cohen resigned from the Board of Directors of SFX Entertainment, Inc. in order to devote his time to other personal and professional commitments.   Mr. Cohen served as the Chairman of the Digital Committee.  Mr. Cohen has confirmed that he has no disputes with management or with the Board of Directors.  A copy of Mr. Cohen’s letter of resignation dated November 20, 2014 is furnished as Exhibit 99.1 to this Form 8-K.
