Item 8.01 Other Events.

 

On November 21, 2014 The Providence Service Corporation (“Providence”) will meet with certain investors. Exhibit 99.1 to this Current Report contains a presentation that will be used during these meetings. The presentation includes certain pro forma financial data and references to Adjusted EBITDA. A reconciliation of Adjusted EBITDA to net income is included in the investor presentation. Investors should consider the pro forma financial data and the non-GAAP measures in addition to, and not as a substitute for, the measure of financial performance prepared in accordance with GAAP.  In this regard, GAAP refers to accounting principles generally accepted in the United States.
