Item 8.01 Other Information.

 

On November 17, 2014, Grand Card LLC, a wholly owned subsidiary of Grandparents.com, Inc. (the “Company”) and Vantiv, LLC (“Vantiv”) entered into a Master Services Agreement, an Addendum and exhibits thereto (collectively, the “Agreement”) pursuant to which Vantiv will provide card issuing and payment processing products and services to Grand Card LLC. Pursuant to the Agreement, Grand Card LLC has committed to, among other things, a card purchasing allotment valued at $725,000 over a twelve (12) month period. The Agreement has an initial term of three (3) years and is subject to standard termination provisions as well as customary representations and warranties. In the event of a default under the Agreement by Grand Card LLC, Grand Card LLC may be responsible for liquidated damages in an amount based upon the monthly revenue earned by Vantiv for the balance of term. The Company’s Grand Card venture is a cash rebate debit card that will enable cardholders to purchase pharmaceutical products and consumer goods and services from participating merchants.
