ITEM 8.01 Other Events.

On November 20, 2014, BB&T Corporation (“BB&T”) issued a press release announcing its plan to create three new geographic banking regions in Pennsylvania when it completes its previously announced acquisition of Susquehanna Bancshares, Inc. (which is currently expected to occur in mid-2015). The press release also announced the three regional presidents who will be responsible for the three new regions, and that at closing BB&T and Susquehanna will consolidate their existing regions in Maryland to form a new Maryland Region.

Completion of the acquisition is subject to customary closing conditions including regulatory approvals and approval of Susquehanna shareholders. A copy of the press release issued by BB&T is attached hereto as Exhibit 99.1.
