Item 8.01 Other Events.

On November 19, 2014, Paramount Home Entertainment Inc. (“PHE”) notified Redbox Automated Retail, LLC (“Redbox”), a wholly-owned subsidiary of Outerwall Inc. (“Outerwall”), that pursuant to the Revenue Sharing License Agreement between PHE and Redbox, as amended (the “Agreement”), PHE was exercising its option to extend the term of the Agreement through December 31, 2015. In connection with such extension, Outerwall will issue 50,000 vested shares of its common stock to PHE as of January 1, 2015. PHE has an additional option to extend the Agreement through the end of 2016.
