Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 14, 2014, Morgan M. Schuessler, President - International, notified Global Payments Inc. (the “Company”) of his decision to resign from the Company in order to pursue professional opportunities outside of the Asia-Pacific region. Mr. Schuessler’s resignation is effective November 20, 2014.

On November 19, 2014, the Company held its 2014 Annual Meeting of Shareholders (the “Annual Meeting”). The Company’s shareholders voted on and approved all three proposals, each of which is described in more detail in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on September 26, 2014.
