Item 8.01. Other Events
On November 14, 2014, TIBCO Software Inc. (“TIBCO”) issued a press release announcing that Balboa Merger Sub, Inc. (the “Issuer”) intends to offer an aggregate of $950 million in aggregate principal amount of its senior note due 2021 (the “Notes”). TIBCO will assume all of the obligations of the Issuer under the Notes upon the consummation of TIBCO’s acquisition by an affiliate of the Issuer. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated by reference herein.
