Item 7.01 Regulation FD Disclosure.
On November 12, 2014, TC PipeLines, LP (the "Partnership") issued a press release announcing the Partnership received an offer from TransCanada Corporation to purchase the remaining 30 percent interest in Gas Transmission Northwest LLC. The terms and structure of the proposed transaction are subject to satisfactory negotiation and approval by the Partnership's Conflicts Committee and Board of Directors. A copy of the press release is furnished as Exhibit 99.1 hereto.
