Item 2.02 Results of Operations and Financial Condition.
On November 12, 2014, Rocket Fuel Inc. issued a press release announcing its financial results for the three and nine months ended September 30, 2014. The attached press release includes a discussion of certain non-GAAP financial measures as well as a reconciliation of such non-GAAP financial measures to the corresponding GAAP financial measures.
A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
