Item 8.01. Other Events

 

IBM senior executives are meeting with investors at conferences this week, and are prepared to provide the following information, which is hereby filed:

 

·                  The company expects to end the year with a non-financing (core) debt level that is fairly consistent with year-end 2013, though the core debt-to-cap ratio will be up year to year. This expected year-end debt level would be approximately one billion dollars higher than the balance at the end of 2007, which is the year the company added debt to the capital structure of the non-financing business.
