Item 5.02Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

 

On November 6, 2014, Russell Hirsch, M.D., Ph.D., resigned as a member of the Board of Directors of Baxano Surgical, Inc. (the “Company”) and as a member of the Company’s Nominating and Corporate Governance Committee. Dr. Hirsch’s resignation was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

 

On November 7, 2014, Timothy Shannon resigned from his positions as Chief Financial Officer, Treasurer and Secretary of the Company.

 

On November 10, 2014, Roderick Young resigned as a member of the Board of Directors of the Company and as a member of the Company’s Audit Committee. Mr. Young’s resignation was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
