Item 2.02. Results of Operations and Financial Condition.

On November 10, 2014, Cancer Genetics, Inc. (the “Registrant”) issued a press release regarding financial results for the fiscal quarter ended September 30, 2014. A copy of the press release is being furnished as Exhibit 99.1 to this report.
