Item 2.02. Results of Operations and Financial Condition.

On November 4, 2014, QR Energy, LP, a Delaware limited partnership (the “Partnership”), issued a press release announcing its financial results for the three and nine months ended September 30, 2014 and an update on the proposed merger with Breitburn Energy Partners LP (“Breitburn”). The press release is being furnished with this Current Report on Form 8-K as Exhibit 99.1 and is hereby incorporated by reference.
