EXPLANATORY NOTE
CBS Outdoor Americas Inc. (the “Company”) hereby amends its Current Report on Form 8-K filed on October 20, 2014 to disclose the appointment of Nick Brien to certain committees of the Company’s board of directors (the “Board”).

As previously reported in the Company’s Current Report on Form 8-K filed on October 20, 2014, Nick Brien was elected to the Board on October 20, 2014. On October 29, 2014, Mr. Brien was appointed to serve as a member of the Board’s Compensation Committee and the Board’s Nominating and Governance Committee.
