Item 1.02

Termination of a Material Definitive Agreement


Repayment of Convertible Note


On March 27, 2014 we entered into an agreement for the sale of a Convertible Promissory Note (“Prim Note”) to an accredited investor in the principal amount of $100,000 with an interest rate of 10% per annum.


On October 31, 2014, Blue Water repaid the Prim Note in full, including the principal balance and all accrued interest.  In accordance with this payment, the Prim Note was cancelled and returned to Blue Water.


No new shares of Blue Water’s common stock were issued with the redemption of this note.
