On October 29, 2014, Viggle Inc. (the “Company”) issued a press release relating to its entry into a securities purchase agreement with Sillerman Investment Company III, LLC (“SIC III”), an entity owned by the Company’s Chief Executive Officer Robert F.X. Sillerman.
