Item 8.01 Other Events.
On October 29, 2014, Old National Bancorp ("Old National") issued a press release announcing that the shareholders of Founders Financial Corporation ("Founders") approved the merger of Founders with and into Old National at a special meeting of Founders shareholders held on October 28, 2014. The completion of the merger remains subject to the satisfaction of the other customary closing conditions contained in the Agreement and Plan of Merger dated July 25, 2014 between Old National and Founders. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
