Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain officers.

Ross M. Cellino, who has served as a Director of Ecology and Environment, Inc. (the “Company”) since the Company’s inception in 1970, has announced his intention to resign as a Director, effective January 1, 2015. Mr. Cellino’s decision to resign was for personal reasons.
Mr. Cellino currently serves as Chairman of the Audit Committee and as a member of the Pension Review Committee.
At the Company’s annual meeting of shareholders held on January 16, 2014, Mr. Cellino was elected to a one year term as a Director by holders of the Company’s Class A Common Stock. The Company’s Board of Directors is conducting a search for candidates to succeed Mr. Cellino.
