Item 8.01 Other Events.
On October 27, 2014, the Board of Directors of Metalico, Inc. (the "Company") set a record date of November 6, 2014, for a Special Meeting of Stockholders to be held on December 19, 2014. Stockholders of record as of the close of business on the record date will be eligible to vote at the meeting. The purpose of the Special Meeting is to approve certain proposals to be presented in connection with the restructuring of the Company's debt described in more detail in a Current Report on Form 8-K filed by the Company on October 21, 2014.
