(b) On October 21, 2014, Walter H. Jones, III, a member of the Board of Directors (“Board”) of Valley National Bancorp (the “Company”) notified the Company that he will not stand for re-election to the Board at the 2015 annual meeting of shareholders and will retire at the conclusion of his term. The Nominating and Corporate Governance Committee has recommended to the Board to reduce the size of the Board at the time of Mr. Jones’ retirement. Mr. Jones stated that he is retiring for personal reasons and not as a result of any disagreement with the Company.
