Item 8.01. Other Events
On October 24, 2014 Citizens & Northern Corporation (the “Company”) issued a press release announcing that the Company’s Board of Directors appointed Leo Lambert as Chairman of the Board. Mr. Lambert, who has been a Director of the Company and Citizens & Northern Bank (the “Bank”) since 2001, has also been appointed Chairman of the Board of the Bank, and will fill vacancies created in August 2014 as a result of the prior Chairman’s retirement and resignation. The Board of Directors also declared a regular quarterly cash dividend of $0.26 per share. The dividend is payable November 17, 2014 to shareholders of record as of November 4, 2014. Declaration of the dividend was made at the October 24, 2014 meeting of the Company’s Board of Directors.
