Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 22, 2014, Lawrence J. Pierzchalski, Executive Vice President – Risk Management of the Company’s principal subsidiary, Mortgage Guaranty Insurance Corporation ("MGIC"), informed the Company that he would be retiring on September 30, 2015. For 2015, he will be paid a bonus of $650,000, which is the approximate percentage of his bonus for 2013 represented by his employment period in 2015. MGIC will be interviewing candidates, internally and externally, to fill this position.
