ITEM 3.02 UNREGISTERED SALES OF EQUITY SECURITIES
On October 16, 2014, PMI Construction Group, a Nevada corporation (the “Company”), completed a private placement offering, pursuant to which the Company raised a total of $60,000 through the sale of 12,000,000 shares of restricted common stock of the Company at a purchase price of $0.005 per share. For the above share issuance, the shares were not registered under the Securities Act of 1933 (the “Securities Act”) in reliance upon the exemptions from registration contained in Regulation S of the Securities Act. No underwriters were used, nor were any brokerage commissions paid in connection with the above share issuances.
