Item 8.01 Other Events.
On October 15, 2014, Cambium Learning Group, Inc. (the "Company") entered into a note repurchase agreement with an investor. The transaction settled on October 20, 2014, with the Company repurchasing $10.0 million aggregate principal amount of its outstanding 9.75% senior secured notes due 2017 for $9.9 million plus accrued and unpaid interest. After completion of this transaction, total principal outstanding under the Company’s 9.75% senior secured notes due 2017 is $155.0 million.
