Item 1.01 — Entry into a Material Definitive Agreement.

Item 2.03 — Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On October 8, 2014, Burger King Worldwide (the “Company”) entered into a guarantee in favor of Morgan Stanley Capital Services LLC (“MSCS”) pursuant to which the Company agreed to guarantee all amounts payable by 1011778 B.C. Unlimited Liability Company (“NewCo”) under certain derivative transactions (the “Hedges”) that NewCo entered into in connection with the transactions contemplated by the Arrangement Agreement and Plan of Merger (the “Arrangement Agreement”) described in the current report on Form 8-K filed by the Company with the Securities and Exchange Commission on August 29, 2014. The Hedges are part of an enterprise risk management strategy, developed in connection with the transactions contemplated in the Arrangement Agreement, which includes USD/CAD foreign exchange forwards and interest rate swaps with an aggregate notional amount of approximately $11 billion. To the extent that the transactions contemplated by the Arrangement Agreement do not close, the Company will terminate the Hedges and will realize a gain or loss based on the market value of the Hedges at the date of the termination.

The Company and certain of its affiliates have previously entered into commercial financial arrangements with MSCS and/or its affiliates to provide financial, advisory, investment banking, brokerage and other services, including participating as a lender in the Company’s current credit facility and agreeing to participate as a lender in the proposed credit facility with NewCo.
