On October 19, 2014, Marc L. Andreessen, a director of eBay Inc. (the "Company"), notified the Company that he would resign from the Company's Board of Directors, effective immediately. Mr. Andreessen's decision to resign did not involve any disagreement with the Company, the Company's management or the Board of Directors. A copy of the press release announcing Mr. Andreessen’s resignation is attached as Exhibit 99.1 to this Current Report on Form 8-K.
