Item 8.01 Other Events.
SFX Entertainment, Inc. (the Company) announced that Robert F.X. Sillerman, Chairman and Chief Executive Officer of the Company, and Mitchell Slater, Vice Chairman of the Company, each entered into a pre-arranged stock trading plan to purchase shares of the Companys common stock. Mr. Sillermans plan covers the purchase of up to three million shares and Mr. Slaters plan covers up to two hundred thousand shares. The plans are designed to comply with Rule 10b5-1 of the Securities Exchange Act of 1934, as amended (the Exchange Act), Rule 10b-18 of the Exchange Act, and the Companys insider trading policies regarding stock transactions (the 10b5-1 Plans). The 10b5-1 Plans provide for purchases of specified share amounts at specified market prices, subject to certain limitations. Purchases pursuant to the 10b5-1 Plans are expected to begin as early as November 10, 2014 and will end no later than September 30, 2015. The 10b5-1 Plans may terminate sooner in accordance with their terms.
Transactions made under the 10b5-1 Plans will be disclosed publicly through Form 4 filings with the U.S. Securities and Exchange Commission. Except as may be required by law, the Company does not undertake to report on specific Rule 10b5-1 pre-planned stock trading plans of Company officers or directors, nor to report modifications or terminations of the aforementioned 10b5-1 Plans or the plan of any other individual.
