On October 6, 2014, Walter K. Crook submitted his resignation, which was effective immediately, as a director on the Board of Directors of the National Rural Utilities Cooperative Finance Corporation (the “Company”). Mr. Crook’s resignation was for personal reasons and not because of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices. As a result of his resignation, Mr. Crook will no longer be a member of the Company’s Audit Committee.
