Item 8.01. Other Events.

 

As previously disclosed, on June 18, 2014, Measurement Specialties, Inc. (the “Company”), TE Connectivity Ltd (“TE”) and Wolverine-Mars Acquisition, Inc., a wholly owned indirect subsidiary of TE (“Merger Sub”), entered into an Agreement and Plan of Merger (the “Merger Agreement”). Upon the terms and subject to the conditions set forth in the Merger Agreement, Merger Sub will merge with and into the Company, with the Company continuing as the surviving corporation and a wholly owned indirect subsidiary of TE.

 

On October 2, 2014, the Committee on Foreign Investment in the United States (“CFIUS”) notified the Company and TE of its determination that there are no unresolved national security concerns with respect to the proposed transaction and that its review and investigation had concluded.

 

The approval of the proposed transaction from CFIUS satisfies one of the conditions necessary for the proposed transaction to close. The closing of the transaction remains subject to the approval of the French Ministry for Economy and Finance and other customary closing conditions, and is expected to occur in October 2014.
