Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 29, 2014, the board of directors of Streamline Health Solutions, Inc. (the “Company”) appointed Judith E. Starkey to the board of directors to serve until the Company’s 2015 Annual Meeting of Stockholders or until her successor is duly elected and qualified. Ms. Starkey has not yet been appointed to serve on any committees of the board of directors. Ms. Starkey’s compensation will be consistent with that generally provided to the Company’s other non-employee directors, as described in the Company’s Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on July 21, 2014.
There is no arrangement or understanding under which Ms. Starkey was appointed other than as described in this report. There are no transactions involving Ms. Starkey requiring disclosure under Item 404(a) of Regulation S-K.
Ms. Starkey is the Founder and former Chairperson of Chamberlin Edmonds & Associates. The full text of the press release issued in connection with this announcement is attached as Exhibit 99.1 to this report.
