Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On September 30, 2014, Andrew E. Tomback resigned as Senior Vice President and General Counsel of Scientific Games Corporation (the “Company”) to pursue other professional opportunities.

 

In connection with Mr. Tomback’s resignation, the Company and Mr. Tomback entered into an agreement and general release dated September 30, 2014 that provides for, among other things, a lump sum payment to Mr. Tomback in an amount equal to $775,000 and forfeiture of all unvested stock options and restricted stock units held by Mr. Tomback.  Mr. Tomback will continue to be bound by certain covenants imposing on him obligations with respect to confidentiality and proprietary information.
