AdCare Health Systems Refinances Two Properties, Reduces Interest Expense
Long-term, HUD-Backed Financing Secured for Eaglewood and Glenvue Facilities

ATLANTA, GA, October 2, 2014-AdCare Health Systems, Inc. (NYSE MKT: ADK), (NYSE MKT: ADK.PRA), a leading long-term care provider, today announced that, as part of its ongoing strategic plan to transition from an owner and operator of healthcare facilities to a healthcare property holding and leasing company, it has closed credit facility agreements securing long-term financing for two properties: Woodland Manor Property Holdings, LLC (“Woodland”),(the Eaglewood Care Center), a 99-bed skilled nursing facility located in Springfield, Ohio, and H&R Property Holdings, LLC (“Glenvue”), (Glenvue Health and Rehabilitation Center), a 134-bed skilled nursing facility located in Glennville, Georgia. As a result of the transactions, AdCare received net cash proceeds of approximately $2.5 million.

“The refinancing of these two properties completes another step in our plan to transition to a healthcare property holding and leasing company,” commented David Tenwick, AdCare’s Chairman, Interim Chief Executive Officer and President. “These transactions secure the long-term financing of the associated properties, while also delivering significant interest savings to reduce the total cost to operate the facilities. As we transition our portfolio, we continue to seek opportunities to improve profitability, drive shareholder returns and increase the appeal of our facilities to potential operators.”

Under the terms of the Woodland agreement, the lender provided a principal amount of $5.7 million for a 30-year, secured credit facility with an annual interest rate of 3.75%, with all amounts insured by the United States Housing and Urban Development Department (“HUD”). Under the terms of the Glenvue agreement, the lender provides a principal amount of $8.8 million for a 30-year, secured credit facility with an annual interest rate of 3.75% with all amounts insured by HUD. Both loans, under HUD rules, are subject to an annual insurance cost of one-half percent.
