Item 2.01 Completion of Acquisition or Disposition of Assets
On October 1, 2014, Rockwood Specialties Group, Inc. (“Rockwood”), an indirect subsidiary of Rockwood Holdings, Inc. (the “Company”), completed the sale of its titanium dioxide pigments, color pigments and services, timber treatment chemicals, rubber/thermoplastic compounding and water chemistry businesses, to Huntsman International LLC, for net cash proceeds of $950 million, which is subject to certain potential post-closing adjustments. Attached as Exhibit 99.1 to this Current Report on Form 8-K, and incorporated herein by this reference, is a copy of the Company’s press release dated October 1, 2014, announcing the completion of the sale.
