Item 1.01. Entry into a Material Definitive Agreement.

On September 25, 2014, NorthStar Real Estate Income II, Inc. (“NorthStar Income II”) amended the terms of its secured credit facility (the “DB Facility”) with Deutsche Bank AG, Cayman Islands Branch (“Deutsche Bank”), increasing the total potential borrowing capacity under the DB Facility from $100.0 million to up to $200.0 million. All other terms governing the DB Facility remain substantially the same.

The foregoing description of the DB Facility does not purport to be complete and is subject to, and qualified in its entirety by, the Master Repurchase Agreement between DB Loan NT-II, LLC, an indirect wholly-owned subsidiary of NorthStar Income II, and Deutsche Bank, dated as of July 2, 2014, which was filed as Exhibit 10.1 to the Current Report on Form 8-K filed on July 9, 2014, which agreement is incorporated herein by reference.
