(e) Compensatory Arrangements of Certain Officers

Covidien Severance Plan for U.S. Officers and Executives

On September 17, 2014, the Compensation and Human Resources Committee of the Board of Directors of Covidien plc (the “Compensation Committee”) approved and adopted the amended and restated Covidien Severance Plan for U.S. Officers and Executives (the “Severance Plan”) under which Covidien’s executive officers are entitled to benefits.

The amendments to the Severance Plan institute a 24-month protection period after a change in control during which the amendment, modification or termination of the Severance Plan is prohibited.

The description above is a summary of the amendments to the Severance Plan and is qualified in its entirety by the complete text of the Severance Plan, a copy of which is attached to this report as Exhibit 10.1 and incorporated herein by reference.

The Compensation Committee also approved amending the terms and conditions of outstanding stock options to extend the change in control protection period from 12 months to 24 months. The amended terms and conditions are attached to this report as Exhibits 10.2, 10.3 and 10.4 and incorporated herein by reference.
