DPL Inc. Announces Early Tender Results and Pricing of Its Previously Announced Tender Offer for up to $280 Million of Its 6.50% Senior Notes due 2016

Dayton, Ohio, September 22, 2014 – DPL Inc. (“DPL”) announced today that as of 5:00 p.m. New York City time on September 19, 2014 (the “Early Tender Date”) it had received tenders for an aggregate principal amount of approximately $363.8 million of its outstanding 6.50% Senior Notes due 2016 (the “Securities”) in its previously announced tender offer for up to $280 million aggregate principal amount  of the Securities (the “Maximum Tender Amount”).  

The following table sets forth some of the terms of the tender offer, which are more fully set forth in the Offer to Purchase, dated September 3, 2014 (the “Offer to Purchase”), and the related Letter of Transmittal, as well as the pricing of the tender offer as determined at 1:00 p.m. New York City time on September 19, 2014:

Based upon a Reference Yield (as defined in the Offer to Purchase) of 0.573%  as of 1:00 p.m., New York City time, on September 19, 2014 and the resulting Tender Offer Yield (as defined in the Offer to Purchase) of 1.823%; includes the Early Tender Premium (as defined below) and excludes accrued and unpaid interest.

The tender offer will expire at 11:59 p.m. New York City time on October 3, 2014 (such date and time, as it may be extended, the Expiration Date), unless extended or earlier terminated. The withdrawal deadline of 5:00 p.m. New York City time on September 19, 2014 has passed and to date has not been extended. Because the aggregate principal amount of Securities validly tendered (and not validly withdrawn) pursuant to the tender offer exceeds the Maximum Tender Amount, DPL currently expects to accept for purchase an amount of Securities equal to the Maximum Tender Amount and will pay holders of such validly tendered Securities in accordance with the proration procedures set forth in the Offer to Purchase.

Holders of Securities validly tendered at or prior to the Early Tender Date and accepted for purchase will receive the Total Consideration (as defined in the Offer to Purchase and set forth in the table above), which includes the early tender premium (the Early Tender Premium) set forth in the table above. Holders tendering Securities after the Early Tender Date but before the Expiration Date will be eligible to receive only the Tender Offer Consideration (as defined in the Offer to Purchase), which will equal the Total Consideration less the Early Tender Premium. No tenders submitted after the Expiration Date will be valid.

 


 

 

The settlement date for Securities validly tendered on or before the Expiration Date will occur promptly following the Expiration Date,  and is currently expected to be October 6, 2014 (to the extent the Expiration Date is not further extended or the tender offer is earlier terminated). DPL will pay accrued and unpaid interest from and including the last interest payment date applicable to the Securities up to, but not including, the settlement date for Securities accepted for purchase.

The tender offer is conditioned upon the satisfaction of certain conditions, including a financing condition, a minimum tender condition and other general conditions (each as described in the Offer to Purchase). Subject to applicable law, DPL may also terminate the tender offer at any time before the Expiration Date in its sole discretion.

DPL has retained BofA Merrill Lynch to serve as Dealer Manager for the tender offer. D.F. King & Co., Inc. has been retained to serve as the Information Agent and Tender Agent for the tender offer. DPL is making the tender offer only by, and pursuant to, the terms of the Offer to Purchase and Letter of Transmittal. Holders must make their own decision as to whether to tender Securities and, if so, the principal amount of the Securities to tender.
