Item 1.02 Termination of a Material Definitive Agreement.

On February 3, 2012, Oncothyreon Inc. (the “Company”), entered into a Sales Agreement (the “Sales Agreement”) with Cowen and Company, LLC (“Cowen”) to sell shares of the Company’s common stock, par value $0.0001 per share, having aggregate sales proceeds of $50,000,000, from time to time, through an “at the market” equity offering program (the “ATM Offering”) under which Cowen acted as sales agent. A description of the Sales Agreement was included in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on February 3, 2012.

On September 17, 2014, the Company’s Board of Directors determined that it was in the best interests of the Company and its stockholders to terminate the ATM Offering. The Company provided Cowen with notice to terminate the Sales Agreement, effective September 17, 2014. The Company was not subject to any termination penalties related to termination of the Sales Agreement.
