Item 8.01 Other Events.
On September 16, 2014, RAIT Financial Trust issued a press release announcing an agreement in principle with the staff of the U.S. Securities and Exchange Commission (the "SEC") to resolve a non-public SEC investigation concerning Taberna Capital Management, LLC. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
