(e)On September 15, 2014, the Compensation Committee of the Board of Directors of MWI Veterinary Supply, Inc. (the “Company”) approved the annual base salary and bonus opportunity for each of the m embers of the executive leadership team for fiscal year 2015. The fiscal year 2015 base salary for each of the Company’s named executive officers is as follows:

The Compensation Committee also established the maximum bonus opportunity for each of the members of the executive leadership team of the Company.  The maximum bonus opportunity for fiscal year 2015 is 110% of base salary for Mr. Cleary and Ms. Thompson and 70% of base salary for Mr. Danielson, Mr. Francis and Mr. Ryan.  Each executive officer will only receive payment of a maximum bonus for fiscal year 2015 if financial performance targets based on the Company’s budget are achieved.

 

On September 15, 2014, the Compensation Committee also approved grants of restricted stock of 3,500 shares each to Mr. Cleary and Ms. Thompson, and 2,000 shares each to Mr. Danielson, Mr. Francis and Mr. Ryan.  All of the grants of restricted stock will vest ratably over a five-year period.
