On September 15, 2014, Alcoa Inc. (the “Company”) issued a press release announcing its registered public offering of 25,000,000 depositary shares, each representing a 1/10th interest in a share of the Company’s Class B Mandatory Convertible Preferred Stock, Series 1, subject to market and other conditions. A copy of the press release is filed herewith as Exhibit 99 and is incorporated herein by reference.
