Item 8.01. Other Events.
On September 11, 2014, we issued a press release announcing our purchase from UBS Investment Bank of 10.375 million of our common shares, at $24.10 per share, for a total aggregate amount of approximately $250 million. The shares represent approximately 40% of the position previously held by Pamplona Capital Management. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
