Item 1.01.        Entry into a Material Definitive Agreement.

On September 8, 2014, American Apparel, Inc. (the “Company”) and certain of its domestic subsidiaries entered into an amendment to the loan agreement with Standard General Master Fund L.P. to lower the applicable interest rate to 17.00%, extend the maturity date to April 15, 2021, and to make certain other technical amendments, including to remove a provision that specified that Dov Charney ceasing to be the Chief Executive Officer of the Company would constitute an event of default.

The foregoing description of the loan agreement, as amended, does not purport to be complete and is qualified in its entirety by reference to the loan agreement, as amended, a copy of which will be filed as an exhibit to the Company’s Quarterly Report on Form 10-Q for the quarter ending September 30, 2014.
