Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 9, 2014, the Board of Directors (the "Board") of Spire Corporation (the "Company") elected Rodger W. LaFavre, the Company's Chief Executive Officer and President, to the Board, effective immediately. Mr. LaFavre will hold office until the next Annual Meeting of Stockholders and until his successor is duly elected. As an employee director, Mr. LaFavre will not receive compensation for his service on the Board.
