On September 9, 2014, Anthony N. Truesdale notified the Board of Directors (the “Board”) of Vitamin Shoppe, Inc. (the “Company”) that he will resign as Chief Executive Officer of the Company. Mr. Truesdale’s resignation as Chief Executive Officer of the Company will be effective as of June 27, 2015, or such later date as is mutually agreed by Mr. Truesdale and the Board.

On September 10, 2014, the Company issued a press release announcing Mr. Truesdale’s resignation. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and the information contained therein is incorporated herein by reference.
