ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On May 21, 2014, we entered into a Loan Agreement with our director and CEO, Peter George, for the amount of $50,000. The loan is unsecured and is due to be paid back in one lump payment, on or before June 21, 2015, with interest at a rate of 5% per annum.

On July 24, 2014, we entered into a second Loan Agreement with our director and CEO, Peter George, for the amount of $950,000. The loan is unsecured and is due to be paid back in one lump payment, on, or before August 24, 2015, with interest at a rate of 5% per annum.

The foregoing description of the Loan Agreements are not complete and are qualified entirely by reference to the full text of the Loan Agreements, a copy of which is filed herewith as Exhibit 10.1 and 10.2 to this Current Report on Form 8-K and is incorporated herein by reference.
