Submission of Matters to a Vote of Security Holders.

As Eastman Kodak Company (the “Company”) previously reported in a Form 8-K filed June 2, 2014, at the Company’s Annual Meeting of Shareholders held on May 28, 2014, the Company’s shareholders approved, through an advisory vote, an annual frequency for the advisory vote to approve the compensation of the Company’s Named Executive Officers. The Company hereby files this amendment to report that the Company will hold this advisory vote annually, until the next required vote on the frequency of the advisory vote to approve the compensation its Named Executive Officers.
