Apple Hospitality REIT, Inc. (which is referred to below as the “Company”) is filing this report in accordance with Item 8.01 and Item 9.01 of Form 8-K.

Other Events.
|
On September 4, 2014, the Company sent a letter to its shareholders announcing the Board of Directors’ approval of an increase in the Company’s annual distribution rate from $0.66 per share to $0.68 per share. The increase in the distribution rate will be effective beginning with the September 15, 2014 payment to shareholders. The distribution will continue to be paid monthly. A copy of the letter to shareholders is attached as Exhibit 99.1 to this Current Report on Form 8-K, and is incorporated herein by reference.
