Item 8.01. Other Events.
On September 2, 2014, American Realty Capital Properties, Inc. (the “Company”) issued a press release announcing an expected liquidity event for Cole Corporate Income Trust, Inc. (“CCIT”) through a merger with Select Income REIT (“SIR”). As part of the announcement, the Company noted that the exit transaction for CCIT could generate additional earnings for the Company through incentive and disposition fees earned at closing as advisor to CCIT, delivering positive results for the Company’s stockholders.
A copy of the press release announcing the foregoing is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
