On August 26, 2014, Burger King Worldwide, Inc. and Tim Hortons Inc. issued a joint press release to announce that the companies have entered into a definitive agreement under which they will create a new global quick service restaurant company. A copy of the press release is attached as Exhibit 99.1 to this Form 8-K.
