Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 19, 2014, Peter Collingwood, Veeco’s Senior Vice President, Worldwide Sales and Service, and a Named Executive Officer, notified Veeco of his intention to resign from his position with Veeco to pursue an employment opportunity based in the United Kingdom, where he resides.  To facilitate a smooth transition, Mr. Collingwood will continue in his current role until September 19, 2014.
